# the ibbe group — corporate entity structure

**Purpose:** Explains the legal and operational structure of all entities under IBBE Group LLP

## PARENT ENTITY

### IBBE Group LLP

IBBE Group LLP is the parent holding entity of the entire group. All subsidiary companies and ventures operate under it. The Group LLP serves as the umbrella through which all business arms — non-profit, commercial, and creative — are structured and governed.

## THREE ARMS OF THE GROUP

IBBE Group LLP operates through three distinct arms, each with its own purpose, legal character, and subsidiaries.

### ARM 1 — NON-PROFIT / EDUCATION

#### IBBE Education

* **Type:** Non-Profit / Education entity
* **Relationship:** Owned under IBBE Group LLP (Non-Profit arm)
* **Purpose:** The educational mission of the group. This is the primary vehicle through which IBBE's teaching, learning design, and academic work is carried out.

#### IBBE Atheneum Private Limited

* **Type:** Non-Profit / Education entity
* **Relationship:** IBBE Education licenses to IBBE Atheneum Private Limited
* **Purpose:** Operates under a formal licensing relationship with IBBE Education. Atheneum is the delivery or operational arm of the education mission — it uses the intellectual property, frameworks, and systems developed by IBBE Education under license.

> **Licensing Note:** The green arrow in the org chart represents this licensing relationship — IBBE Education owns the intellectual property and licenses it to IBBE Atheneum Private Limited for use.

### ARM 2 — COMMERCIAL / INFRASTRUCTURE AND TOOLS

Both entities below sit under the Commercial arm of IBBE Group LLP, grouped under the Infrastructure and Tools vertical.

#### IBBE Artifacts Private Limited

* **Type:** Commercial / Infrastructure entity
* **Relationship:** Commercial subsidiary of IBBE Group LLP
* **Purpose:** Handles physical or tangible infrastructure — assets, tools, and material resources that support the group's operations.

#### IBBE Apparatus Private Limited

* **Type:** Commercial / Infrastructure entity
* **Relationship:** Commercial subsidiary of IBBE Group LLP
* **Purpose:** The technology and systems arm of the group. Builds, maintains, and operates the technical infrastructure across all IBBE entities. Note that the internal division called Apparatus (Technology) within the corporate structure mirrors and works closely with this legal entity.

### ARM 3 — CREATIVE AND CULTURAL / DOCUMENTARY

#### IBBE Unrendered Private Limited

* **Type:** Creative / Documentary entity
* **Relationship:** Documentary subsidiary of IBBE Group LLP
* **Purpose:** The creative and cultural arm of the group. Handles documentary, visual, and cultural work — the storytelling, production, and creative output that exists beyond the education and infrastructure verticals.

## KEY RELATIONSHIPS TO NOTE

* **IBBE Group LLP owns all entities** — it is the legal parent of everything
* **IBBE Education → IBBE Atheneum is a licensing relationship**, not an ownership relationship. Atheneum operates using frameworks and IP licensed from IBBE Education
* **IBBE Apparatus Private Limited (the legal entity) and Apparatus (the internal technology division in the corporate structure) are closely linked** — the division operates within and supports this legal entity
* **IBBE Unrendered operates independently as the creative entity** — Human Interfaces (the internal division) is the operational team that works within this arm
